Terms and Conditions of the Austrian Cultural Centre

Scope of application
These Terms and Conditions of the offer are between the Austrian Cultural Centre (also referred to as "ACC" or "the Contractor") and its customer (also referred to as "the Customer").

The Customer is solely responsible for adhering to all the applicable legal regulations and for the procurement of any required permits. In particle, it is possible that registration is necessary at the Municipal Council Department MA 36.

Safety
All rental hall entrances and exits as well as emergence exits and escape routes must be kept totally unblocked during the entire event/ exhibit. Emergence exit lighting must be kept visible at all times and cannot under any circumstances be moved or covered.

Flammable material such as easily inflammable plastic, paper, cardboard or similar material may not be used to set up, cover or decorate.

Open fires, cooking equipment, laser or pressurized cans of any kind are forbidden. It is absolutely forbidden to smoke at any time during the set up, event or the dismantling of the event or exhibit halls.

The Customer must have supervisors on site at his expense during the set up and dismantling of the event/ exhibit. They must monitor that the setting up and dismantling company or that their own personnel or rather the hired company's personnel carefully undertake the necessary work without damaging the building.

Any instructions given by ACC's personnel are to be followed without exception or delay.

It is forbidden to drill, screw or put nails into the building's walls, ceilings, floors or pillars. Without exception, only tape that has been approved of by the ACC may be used to secure rugs or decorations. The tape must be removed after the event and must leave no traces.

Insurance
The Customer is required to effect an event liability insurance for the term of the Event (including lead time and post processing) and further to submit the policy to ACC unbidden.

Return
The contractual rental halls must be returned by the Customer at the contracted date and in proper, workable and cleaned conditions. If such conditions are not affected, ACC is entitled to execute these operations against payment in an adequate proportion of the agreed amount. ACC reserves the right of assertion of further claims, especially in case of disturbances consecutively events. For these defects the Customer is responsible in any case, even if it is not his default. The Customer is responsible for the disposal of waste every description, which occurred from the event, set up ord dismantling. Does the Customer not meet his obligations; ACC is entitled to arrange a removal at Customer's own expenses.
The Customer is responsible for every damage or pollution, which is caused by him, his guests or other visitors in the rental halls or general rooms of the Palace. The Customer agrees that the defect cured as well as the required cleaning services are solely effected by the ACC or by others on behalf of ACC against payment for the Customer.

Liability, liability limitations
ACC is, as far as there are no obligatory legal requirements, liable for all damages, which can result solely for premeditation or gross negligence, latter with limitation according to the contracted amount. ACC isn't liable for valuables like machines, drawings, cash etc. which were brought by the organizer his assignees or by the attendees of the event.

Advertising material
Advertising material, which advertise with ACC or Palais Palffy are need to be prior consent by the ACC.

Rentals
The agreed rentals are applies solely for the allocation of the empty halls. Set-up and dismantling of equipment like dance floors, podiums etc. is charged separately pursuant to the offer.

Payment conditions
The order effectives in law, if

a) the duly signed confirmation will be resent to ACC within 14 days of submission of
the offer, and
b) 50% of the total order volume will be paid within 14 days after submission of the
confirmation paid into the account 2.090.009, of the Raiffeisenlandesbank NĂ–-
Wien, BLZ 32000.

The remaining amount of 50% of the total order volume become due at latest one week before the event date.
Other invoices are payable within 14 days of the invoice date. In case of delay ACC is entitled to charge 12% p.a. interest for delay.

Cancellation
If the customer withdraw the contract, he has to pay cancellation penalty as follows:

Date up to the event
cancellation penalty (plus 20% VAT)
up to and including 3 month
50% of the total order volume
up t0 and including 1 month
75% of the total order volume
withdrawal within 1 month
100% of the total order volume

In case of an agreement for an alternate date within the next six month, only 50% of the cancellation penalty will be credit against the customer.

Written form
All changes, additions and amendments must be in written form. This is also applied for changes regarding this written form clause. Oral additional agreements are not effective.

Jurisdiction
It is agreed that the jurisdiction for any possible disputes of this contract the appropriate Court of Justice in Vienna is.
